Abstract
新加坡已经连续十年在世界银行评定的“亲商经济体”排名全球第一. 在投资领域,新加坡 政府实施有利于工商企业发展的各项政策,为投资便利化创造了一定的条件,尽管没有 专门针对外资的特殊优惠政策,但也没有针对外资的特殊限制,其外资准入规则比较宽 松,对外资企业实行无差别的国民待遇. 中国与东盟经济关系日益密切,中国赴东盟投资 逐年增加. 中国与新加坡投资便利化的实现与否完善法律制度是关键,但中国企业对于新 加坡以及其他东盟国家在市场监管理念、市场监管体制、市场监管对象、市场监管方式 、市场监管责任等法律规范层面存在认知上的不足,由此导致了一系列投资偏差、信息 滞后、贸易纠纷等棘手的问题. 从工商制度的三个核心领域,即市场准入、市场监管、消 费者保护出发探讨投资便利化问题对于工商制度的改进有积极的意义. 作为东盟成员国的 新加坡,其工商制度有一定的特色,以投资便利化为标准衡量,这集中体现在市场主体 管理方式、市场监管法律制度的构建根基、政府企业的规制以及权力的法律规制等四个 方面. 随着中国与新加坡经济往来的日益加深,考察新加坡工商制度在投资便利化方面的 有益经验尤为重要,据此,为提升彼此的投资便利化,中国与新加坡在工商制度上应该 有所回应,在中国——东盟互联互通营商环境的营造中,必须强化中国与新加坡市场监 管的协同,以工商法律制度信息共享机制为依据,加强消费维权合作,塑造健康的消费 市场,并最终服务于中国——东盟自贸区升级版的打造. 据此,为提升彼此的投资便利化 ,中国与新加坡在工商制度上应该有所回应,在中国——东盟互联互通营商环境的营造 中,必须强化中国与新加坡市场监管的协同,以工商法律制度信息共享机制为依据,加 强消费维权合作,塑造健康的消费市场,并最终服务于中国——东盟自贸区升级版的打 造.
Singapore has been the first of “Pro business economy” for ten consecutive years in the World Bank's assessment. In the area of investment, the implementation of economic policies by the Government of Singapore is conducive to the development of business enterprises and facilitation for investment, although there is no any special preferential policy for the foreign investment, it has no special restrictions on foreign investment. The market access rules of foreign capital are loose, and the undifferentiated National Treatment is implemented for foreign-funded enterprises. The economic and trade relationship between China and ASEAN is increasingly close and the investment from China to ASEAN is increasing year by year. The perfect of legal system is the key to the implementation of investment facilitation between China and Singapore, but Chinese enterprises have cognitive deficiencies about Singapore and other countries of ASEAN on legal norms surface such as the ideas of market regulation, market supervision system, market regulation, market regulation, market supervision responsibility and so on, which leads to the difficult problem in a series of investment deviation, the information lag, and trade disputes. It has a positive meaning for the improvement of the industrial and commercial system to explore investment facilitation issues from the three core areas of the industrial and commercial system such as market access, market regulation, consumers protection. As a member of ASEAN, Singapore has certain characteristics in industrial and commercial system. To facilitate the investment as a standard measure, the certain characteristics are reflected in four aspects such as management means of market subject, the foundation of the legal system of market supervision, regulation of government enterprises and regulation of power. With the deepening of economic relations between China and Singapore, it is particularly important to investigate the beneficial experience of the industrial and commercial system of Singapore in the facilitation of investment. Accordingly, in order to enhance the investment facilitation between China and Singapore the industrial and commercial system should be improved. In reshaping Interconnection and intercommunication environment of business between China and ASEAN China and Singapore should strengthen collaboration in market supervision, take the industrial and commercial legal system information sharing mechanism as the basis, strengthen cooperation in safeguarding the rights and interests of consumers, shape the healthy consumer market, ultimately, serve the upgrade version of China-ASIAN free trade zone.
