Abstract
Reports the Chancery Division decision in AMG Global Nominees (Private) Ltd v SMM Holdings Ltd on whether a foreign subsidiary provided unlawful financial assistance for the purchase of shares in its UK parent company, in breach of the Companies Act 1985 s.151. Highlights the forthcoming amendments to the law on financial assistance contained in the Companies Act 2006.
